About These Terms

These Terms & Conditions (“Terms”) apply to your use of the EcomManage website and to general enquiries, consultations, proposals, and services provided by EcomManage unless a separate written agreement states otherwise.

By using this website, submitting an enquiry, booking a consultation, accepting a proposal, or purchasing services from EcomManage, you agree to comply with these Terms and any additional terms agreed in writing for a specific project or service.

If a signed service agreement, proposal, statement of work, order form, or other written agreement conflicts with these website Terms, the specific written agreement will normally take priority for that engagement.

02

Our Services

EcomManage provides ecommerce-related services that may include marketplace store management, product listing and catalogue support, Shopify store services, ecommerce advertising support, business email solutions, store operations, optimisation, and related consulting or support.

The exact scope, deliverables, timelines, communication process, and fees for a client engagement will be described in the relevant proposal, service agreement, invoice, or other written confirmation.

Service scope: Website descriptions are general summaries. They do not automatically include every task, feature, marketplace, integration, advertising activity, or deliverable unless it is confirmed as part of the agreed scope.
03

Proposals, Quotes & Service Agreements

Quotes and proposals may be based on the information available at the time they are prepared. If project requirements, workload, marketplace conditions, account status, integrations, or requested deliverables change, EcomManage may revise the scope, timeline, or fees before continuing the additional work.

A consultation, estimate, or proposal does not create an obligation for either party until the applicable service arrangement has been accepted in the agreed manner.

Any project-specific revision limits, milestones, support periods, response times, or cancellation terms should be confirmed in the relevant service documentation.

04

Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information required for EcomManage to perform the agreed services.

  • Provide lawful and accurate product, business, billing, and account information.
  • Supply required approvals, assets, content, credentials, and platform permissions on time.
  • Review important listings, campaigns, settings, designs, or changes when approval is requested.
  • Maintain ownership or appropriate rights to all material supplied to EcomManage.
  • Follow the policies, terms, and legal requirements that apply to the client’s business and selling channels.
  • Inform EcomManage promptly about material account changes, restrictions, suspensions, disputes, or security concerns.

Delays in receiving information, approvals, access, or required materials may affect delivery dates and project schedules.

05

Account Access & Security

Some services may require access to ecommerce platforms, advertising accounts, business email systems, analytics tools, website dashboards, or other third-party services.

Where possible, clients should provide role-based or delegated access instead of sharing primary passwords. Clients remain responsible for maintaining appropriate account ownership, administrator access, recovery methods, billing controls, and security settings.

EcomManage will use provided access only for the agreed service purpose and will take reasonable steps to protect credentials and confidential account information in its possession.

06

Fees, Invoices & Payments

Service fees may vary depending on scope, marketplace, workload, project complexity, advertising requirements, integrations, and ongoing support needs. Unless otherwise stated, prices shown in a proposal or invoice relate only to the services described in that document.

Payment schedules, deposits, recurring fees, due dates, taxes, payment methods, and refund or cancellation arrangements will be stated in the applicable proposal, invoice, or service agreement.

EcomManage may pause work where an invoice is materially overdue, subject to the terms of the applicable client agreement and any legal requirements that apply.

07

Third-Party Platforms & Services

EcomManage works with third-party platforms and services that may include Amazon, eBay, Walmart, Etsy, Shopify, TikTok Shop, Wayfair, Temu, Poshmark, Best Buy, Google, Microsoft, Zoho, advertising networks, payment providers, apps, hosting providers, and other technology services.

These providers operate independently and control their own systems, policies, fees, availability, approvals, algorithms, account reviews, suspensions, feature changes, and technical performance. EcomManage does not own or control those third-party platforms.

Clients are responsible for complying with the terms and policies of each platform they use. EcomManage cannot guarantee approval, continued account access, listing acceptance, marketplace ranking, platform availability, or reversal of a third-party suspension or enforcement action.

08

Advertising & Campaign Management

When EcomManage provides advertising or campaign support, results may be affected by budget, competition, product demand, pricing, seasonality, account history, creative quality, marketplace conditions, tracking accuracy, platform changes, and other factors outside our control.

Unless expressly agreed otherwise, advertising spend paid to a marketplace, advertising platform, or other third party is separate from EcomManage service fees.

EcomManage may provide recommendations and optimisation support, but does not guarantee a specific number of sales, leads, impressions, clicks, return on ad spend, revenue level, ranking, or profit.

09

Intellectual Property

The EcomManage name, website design, original website copy, graphics, branding, service descriptions, and other materials created for EcomManage are protected by applicable intellectual property laws and may not be copied, republished, resold, or used commercially without permission.

Clients retain ownership of materials they provide to EcomManage, subject to any third-party rights. Clients grant EcomManage the limited permission required to use those materials solely for performing the agreed services.

Ownership and permitted use of custom deliverables created specifically for a client may be further defined in the applicable service agreement or proposal.

10

Confidentiality

During an engagement, either party may receive non-public business, commercial, account, operational, technical, or financial information from the other party.

EcomManage will take reasonable steps to keep client confidential information private and use it only for the purpose of providing the agreed services, except where disclosure is authorised, required by law, or necessary for approved service providers involved in delivering the service.

Clients should avoid sending unnecessary sensitive information and should use secure access methods whenever practical.

11

Acceptable Use of This Website

You may use the EcomManage website for lawful business and informational purposes. You must not use the website in a way that interferes with its operation, attempts unauthorised access, distributes malicious software, abuses website forms, infringes intellectual property rights, or violates applicable law.

Automated scraping, copying, extraction, or reuse of substantial website content for competing, resale, or unlawful purposes is not permitted without written authorisation.

12

Website Availability & Service Changes

We aim to keep the EcomManage website accurate and available, but we do not guarantee uninterrupted access. The website may occasionally be unavailable because of maintenance, hosting issues, security measures, updates, technical failures, or circumstances outside our control.

We may update, improve, replace, discontinue, or reorganise website content and service offerings when needed. Material changes to an active client engagement should be handled according to the applicable service agreement.

13

No Guaranteed Business Results

EcomManage aims to provide services professionally and with reasonable care. However, ecommerce performance depends on many factors that are outside the control of any service provider.

Unless expressly stated in a written agreement, we do not guarantee specific sales, revenue, profit, marketplace ranking, search position, account approval, advertising performance, conversion rate, business growth, or other commercial outcome.

Information published on the website is general information and should not be treated as legal, tax, accounting, financial, or platform-specific professional advice.

14

Limitation of Liability

To the extent permitted by applicable law, EcomManage will not be responsible for indirect, incidental, special, or consequential losses arising solely from website use or circumstances outside our reasonable control.

This may include losses caused by third-party platform outages, policy changes, account restrictions, client-provided information, unauthorised access outside our control, marketplace decisions, or failures of external services.

Any project-specific liability limits, exclusions, remedies, or service credits should be stated in the relevant client agreement. Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

15

Suspension, Cancellation & Termination

Either party may be able to end a service arrangement in accordance with the cancellation or termination terms stated in the relevant proposal, service agreement, subscription arrangement, or other written confirmation.

EcomManage may suspend or decline work where continuing the service would involve unlawful activity, misuse, serious policy violations, security risks, non-payment, abusive conduct, or a material breach of the agreed service terms.

On termination, outstanding fees for completed work, approved third-party costs, or other amounts already due remain payable where applicable.

16

International Clients

EcomManage may work with businesses located in different countries and regions. Clients are responsible for ensuring that their own products, business activities, advertising, marketplace operations, taxes, consumer obligations, and data practices comply with the laws that apply to them.

Because legal, tax, consumer, employment, privacy, and ecommerce requirements differ between jurisdictions, EcomManage does not represent that a general website service automatically satisfies every local legal requirement.

17

Governing Terms & Disputes

Where a client service agreement identifies a governing law, jurisdiction, dispute-resolution process, or venue, those agreed terms will apply to that engagement.

If no specific governing-law provision has been agreed, the applicable legal framework will be determined according to the circumstances of the relationship and any mandatory laws that apply.

Before starting formal proceedings, both parties are encouraged to make a reasonable good-faith attempt to resolve a service-related concern through direct communication.

18

Changes to These Terms

We may update these Terms when our website, services, business practices, service providers, or legal requirements change.

The latest version will be published on this page with a revised “Last updated” date. Changes to active client agreements will be handled according to the terms of those agreements rather than relying only on an updated website page.
